• "Agreement" refers to these Terms and Conditions together with any service-specific proposals or contracts signed between the parties.
• "Content" refers to all text, images, code, data, and materials available on the Website.

2. Acceptance of Terms

By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please refrain from using our website or services.

You confirm that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are acting on behalf of a company or organisation, you represent that you have the authority to bind that entity to these terms.

3. Description of Services

Pragmix provides AI consulting and implementation services to organisations seeking to adopt or improve artificial intelligence capabilities. Our current service offerings include:

• AI Audio and Speech Analytics — Systems that extract structured insights from audio content, including transcription, speaker identification, emotion detection, and compliance monitoring.
• Recommendation System Architecture — Design and development of recommendation engines for digital platforms using hybrid collaborative and content-based approaches.
• AI Model Explainability Service — Transparency and interpretability layers for existing AI models, using techniques such as SHAP, LIME, and feature importance analysis.

The specific scope, deliverables, and timeline for each engagement will be detailed in a separate proposal or statement of work agreed upon between both parties prior to commencement.

4. User Responsibilities

When using our website or engaging our services, you agree to:

• Provide accurate and truthful information in any forms you submit
• Use the website and its content only for lawful purposes

You are granted a limited, non-transferable licence to access and view website content for personal or internal business evaluation purposes. This licence does not extend to reproducing, modifying, or distributing our content for any commercial purpose.

Project Deliverables

Intellectual property rights for deliverables produced during a service engagement will be addressed in the specific proposal or statement of work for that engagement. Typically, clients receive a licence to use the deliverables within their organisation, while Pragmix retains ownership of underlying methodologies and reusable frameworks.

6. Payment Terms

Service fees are quoted in Malaysian Ringgit (RM) and are outlined in the proposal or statement of work for each engagement. Unless otherwise specified:

• A deposit may be required before work commences, as specified in the project proposal
• Payments are due within 30 days of invoice issuance, unless alternative terms have been agreed
• All fees are subject to applicable taxes as required under Malaysian law
• Late payments may attract an administrative charge, details of which will be communicated in the project agreement

Refund Policy

Refund eligibility depends on the stage of the project and will be assessed on a case-by-case basis. If you wish to cancel or modify an engagement, please contact us as early as possible. Work already completed up to the point of cancellation may not be refundable.

7. Confidentiality

Both parties agree to treat any confidential information shared during a service engagement with appropriate care. Confidential information includes, but is not limited to, business data, technical specifications, proprietary methods, and financial details.

Confidentiality obligations survive the termination of any engagement and remain in effect for a period of 24 months following the conclusion of the relevant project, unless otherwise agreed in writing.

8. Disclaimers

Our website and the information it contains are provided on an "as is" basis. While we make reasonable efforts to keep the content accurate and up to date, we do not make any representations or warranties about the completeness, reliability, or suitability of the information for any particular purpose.

AI systems and models inherently involve a degree of uncertainty. While we apply rigorous methods and best practices, we cannot warrant that any specific business outcome will result from the use of our services. Project outcomes depend on numerous factors including data quality, organisational readiness, and implementation context.

9. Limitation of Liability

To the fullest extent permitted by Malaysian law, Pragmix shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our website or services. This includes, without limitation, loss of profits, data, business opportunities, or goodwill.

Our total liability for any claims arising from a service engagement shall not exceed the total fees paid by you for that specific engagement. Nothing in these terms excludes liability for matters that cannot be limited or excluded under applicable law.

10. Indemnification

You agree to indemnify and hold Pragmix harmless from any claims, losses, damages, costs, or expenses (including reasonable legal fees) arising from your breach of these terms, misuse of our services, or violation of any applicable law or third-party rights in connection with your use of our services.

11. Termination

Either party may terminate a service engagement by providing written notice in accordance with the terms set out in the project proposal or statement of work. In the absence of specific termination provisions, either party may terminate with 30 days' written notice.

Upon termination, you remain responsible for payment for all services rendered up to the effective date of termination. Pragmix will deliver any completed deliverables due up to that point, subject to receipt of outstanding payments.

Provisions relating to intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination.

12. Force Majeure

Neither party shall be held liable for delays or failure to perform obligations where such failure arises from circumstances beyond reasonable control, including natural disasters, pandemic, government actions, civil unrest, failure of utilities or telecommunications, or cyber-attacks. The affected party shall notify the other party promptly and use reasonable efforts to mitigate the impact.

13. Dispute Resolution and Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Both parties agree to first attempt to resolve any dispute arising from these terms through informal negotiation in good faith.

If the dispute cannot be resolved through negotiation within 30 days, either party may submit the matter to mediation administered by the Asian International Arbitration Centre (AIAC) in Kuala Lumpur. If mediation does not produce a resolution within a further 30 days, the dispute may be referred to the courts of Malaysia.

14. General Provisions

• Entire Agreement: These terms, together with any signed service proposals, constitute the entire agreement between you and Pragmix regarding the subject matter herein.
• Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Failure by Pragmix to enforce any provision of these terms does not constitute a waiver of that provision or any other provision.
• Assignment: You may not assign or transfer your rights or obligations under these terms without our prior written consent. Pragmix may assign its rights and obligations to a successor entity.
• Notices: Any notices required under these terms should be sent to the contact information provided below.

15. Changes to These Terms

Pragmix reserves the right to update these Terms and Conditions at any time. Changes will be reflected by updating the "Last Updated" date at the top of this page. We encourage you to review these terms periodically. Continued use of our website or services after changes have been posted constitutes your acceptance of the revised terms.
