Typically, clients receive a licence to use the deliverables within their organisation, while Pragmix retains ownership of underlying methodologies and reusable frameworks.

Refund eligibility depends on the stage of the project and will be assessed on a case-by-case basis. If you wish to cancel or modify an engagement, please contact us as early as possible. Work already completed up to the point of cancellation may not be refundable.

Both parties agree to treat any confidential information shared during a service engagement with appropriate care. Confidential information includes, but is not limited to, business data, technical specifications, proprietary methods, and financial details.

Confidentiality obligations survive the termination of any engagement and remain in effect for a period of 24 months following the conclusion of the relevant project, unless otherwise agreed in writing.

Our website and the information it contains are provided on an "as is" basis. While we make reasonable efforts to keep the content accurate and up to date, we do not make any representations or warranties about the completeness, reliability, or suitability of the information for any particular purpose.

AI systems and models inherently involve a degree of uncertainty. While we apply rigorous methods and best practices, we cannot warrant that any specific business outcome will result from the use of our services. Project outcomes depend on numerous factors including data quality, organisational readiness, and implementation context.

9. Limitation of Liability

To the fullest extent permitted by Malaysian law, Pragmix shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our website or services. This includes, without limitation, loss of profits, data, business opportunities, or goodwill.

Our total liability for any claims arising from a service engagement shall not exceed the total fees paid by you for that specific engagement. Nothing in these terms excludes liability for matters that cannot be limited or excluded under applicable law.

You agree to indemnify and hold Pragmix harmless from any claims, losses, damages, costs, or expenses (including reasonable legal fees) arising from your breach of these terms, misuse of our services, or violation of any applicable law or third-party rights in connection with your use of our services.

Either party may terminate a service engagement by providing written notice in accordance with the terms set out in the project proposal or statement of work. In the absence of specific termination provisions, either party may terminate with 30 days' written notice.

Upon termination, you remain responsible for payment for all services rendered up to the effective date of termination. Pragmix will deliver any completed deliverables due up to that point, subject to receipt of outstanding payments.

Provisions relating to intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination.

12. Force Majeure

Neither party shall be held liable for delays or failure to perform obligations where such failure arises from circumstances beyond reasonable control, including natural disasters, pandemic, government actions, civil unrest, failure of utilities or telecommunications, or cyber-attacks. The affected party shall notify the other party promptly and use reasonable efforts to mitigate the impact.

13. Dispute Resolution and Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Both parties agree to first attempt to resolve any dispute arising from these terms through informal negotiation in good faith.

If the dispute cannot be resolved through negotiation within 30 days, either party may submit the matter to mediation administered by the Asian International Arbitration Centre (AIAC) in Kuala Lumpur. If mediation does not produce a resolution within a further 30 days, the dispute may be referred to the courts of Malaysia.
